SLP Service Agreement

For Speech-Language Pathologists (SLPs) — This Agreement governs your use of the SpeechThrive platform as an independent professional. Please read carefully before onboarding.

1. Parties to This Agreement

This Service Agreement ("Agreement") is entered into between:

Aitude Technologies (hereinafter referred to as "SpeechThrive", "We", "Us", or "Our"), a company incorporated under the laws of India, having its registered office at:

The Speech-Language Pathologist (hereinafter referred to as "SLP", "You", or "Your"), an independent professional who registers on the SpeechThrive platform to provide speech therapy services.

2. Recitals

  • A. SpeechThrive operates a technology platform that connects Patients with independent Speech-Language Pathologists for the purpose of delivering speech therapy services.
  • B. You are a qualified and licensed Speech-Language Pathologist who wishes to use the SpeechThrive platform to provide your professional services to Patients.
  • C. You acknowledge that SpeechThrive is a technology platform and not a healthcare provider. Your relationship with Patients is independent of SpeechThrive.
  • D. You wish to use the Platform, and SpeechThrive is willing to grant you access, subject to the terms and conditions set forth in this Agreement.

3. Independent Contractor Status

⚡ You Are an Independent Professional

Your relationship with SpeechThrive is that of an independent contractor. You are not an employee, agent, partner, joint venturer, or representative of SpeechThrive.

  • No Employment Relationship: This Agreement does not create an employment relationship. You are not entitled to any employee benefits, insurance, or protections provided by SpeechThrive to its employees.
  • Independent Practice: You retain full control over your clinical judgment, therapy methods, assessment tools, and treatment plans. SpeechThrive does not supervise, direct, or control your professional practice.
  • No Vicarious Liability: SpeechThrive is not liable for your professional conduct, including any negligence, malpractice, or misconduct. You are solely responsible for your actions and omissions.
  • ⚠️ Professional Liability Insurance: You are required to maintain your own professional liability insurance (malpractice insurance) at your own expense. SpeechThrive does not provide any insurance coverage for you.

4. Your Obligations as an SLP

By using the Platform, you agree to the following obligations:

4.1. Professional Qualifications & Licensing

  • You hold a valid degree in Speech-Language Pathology from a recognized institution.
  • You hold a valid license/registration to practice speech-language pathology in the jurisdiction(s) where your Patients are located.
  • You will provide accurate and up-to-date proof of your qualifications and licensing upon request.
  • ⚠️ Due Diligence: SpeechThrive will verify your credentials as part of the onboarding process. However, you remain solely responsible for maintaining the accuracy and validity of your credentials.

4.2. Clinical Practice & Standard of Care

  • You will provide professional speech therapy services in accordance with the applicable standard of care for your profession.
  • You will conduct proper assessments, diagnoses, and therapy planning using your professional judgment.
  • You will not make any medical diagnosis or prescribe medication unless you are legally qualified and licensed to do so.
  • You will comply with all applicable professional codes of conduct and ethical guidelines.

4.3. Telemedicine Compliance

  • You will comply with the Telemedicine Practice Guidelines, 2020 issued by the National Medical Commission (NMC) to the extent they apply to your practice.
  • You will obtain proper patient consent before conducting any tele-consultation.
  • You will maintain proper medical records for each Patient as required by law.
  • You will not prescribe any prohibited drugs as per the Telemedicine Practice Guidelines.

4.4. Patient Data & Privacy

  • You will comply with the Digital Personal Data Protection Act, 2023 (DPDP Act) in handling Patient data.
  • You will maintain the confidentiality of all Patient information obtained through the Platform.
  • You will only use Patient data for legitimate therapeutic purposes and not share it with unauthorized third parties.
  • ⚠️ Data Retention: You must retain Patient records for the period required by law (minimum 3 years, or 10 years for medico-legal cases). SpeechThrive is not responsible for your record-keeping obligations.

5. Use of the Platform

5.1. Platform Access

SpeechThrive grants you a non-exclusive, non-transferable, revocable license to access and use the Platform for the purpose of providing speech therapy services to Patients.

5.2. Features Provided by SpeechThrive

  • Patient management system (history, assessments, therapy plans)
  • Online scheduling for sessions
  • Video recording and review features for patient practice
  • Azure Speech API integration for speech analysis (provided as a reference tool)
  • Practice module for Patients

5.3. Platform Usage Guidelines

  • You will use the Platform only for legitimate therapeutic purposes.
  • You will not misuse the Platform for any illegal, unethical, or fraudulent activity.
  • You will not share your login credentials with any third party.
  • You will promptly report any technical issues or security vulnerabilities to SpeechThrive.

6. Fees & Payment

💰 You Pay Platform Fees, Not Patients

SpeechThrive charges you, the SLP, a platform fee for using our technology. You are free to set your own therapy fees for Patients independently.

  • Platform Fee: You agree to pay the platform fees as communicated to you during onboarding or as updated from time to time. Fee structures may be subscription-based, per-patient, or per-session, as communicated.
  • No Patient Billing: We do not bill Patients on your behalf. You are solely responsible for billing and collecting fees from your Patients.
  • Fee Changes: We reserve the right to modify platform fees with reasonable notice. Continued use of the Platform after fee changes constitutes your acceptance.
  • Taxes: You are responsible for all applicable taxes, including GST, on your income. Aitude Technologies will charge GST on platform fees as applicable.

7. Intellectual Property

  • Platform IP: All rights, title, and interest in the Platform, including software, design, trademarks, and content (excluding Patient data), are owned by Aitude Technologies.
  • Your IP: You retain ownership of your clinical materials, therapy plans, and other content you create for your Patients.
  • Limited License: You grant SpeechThrive a limited, non-exclusive license to store, process, and display your content on the Platform solely for the purpose of providing the service.

8. Data Protection & Compliance

You acknowledge that:

  • You are a Data Fiduciary under the DPDP Act, 2023 with respect to your Patients' data.
  • You will obtain proper consent from Patients (or their Guardians) before collecting and processing their data.
  • You will comply with all applicable data protection laws, including the DPDP Act, 2023.
  • You will promptly notify SpeechThrive of any data breach or security incident involving Patient data.

9. Limitation of Liability

⚠️ IMPORTANT LIMITATION: To the maximum extent permitted by law, SpeechThrive shall NOT be liable for:

  • Any clinical outcomes, including misdiagnosis, improper treatment, or adverse events arising from your services.
  • Any claims, disputes, or complaints made by your Patients against you.
  • Any indirect, incidental, special, or consequential damages.
  • Any third-party tool failures, including Azure Speech API.

Total Liability: Our total liability to you shall not exceed the total platform fees paid by you to us during the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Aitude Technologies, its directors, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your professional practice and conduct.
  • Any claims made by your Patients against you or against SpeechThrive arising from your services.
  • Your violation of any law, regulation, or professional code of conduct.
  • Any misuse of the Platform by you or under your account.

11. Termination

  • By You: You may terminate this Agreement at any time by ceasing to use the Platform and notifying us.
  • By Us: We may suspend or terminate your access to the Platform at any time, with or without notice, if you violate this Agreement, fail to pay fees, or engage in any misconduct.
  • Effect of Termination: Upon termination, your access to the Platform will be disabled. You are responsible for completing any ongoing therapy sessions with your Patients. You must comply with all record-keeping and data retention obligations.

12. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of India.

  • 📍 Jurisdiction: The courts at Bikaner, Rajasthan shall have exclusive jurisdiction.
  • 🤝 Dispute Resolution: Any disputes shall first be attempted to be resolved amicably. If unresolved within 30 days, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

By onboarding and using SpeechThrive, you acknowledge that you have read, understood, and agreed to this SLP Service Agreement.
